1. About these terms
These Terms & Conditions of Sale (the Terms) apply to goods and services supplied by KAS Shelving Systems Ltd through our website, quotations, telephone and email orders. In these Terms, we, us and our mean KAS Shelving Systems Ltd, and customer, you and your mean the person or organisation purchasing from us.
These Terms apply together with our quotation, order confirmation and any specification, drawing or project document expressly incorporated into the order. Any customer purchasing terms are excluded unless we expressly accept them in writing.
If documents conflict, project-specific terms expressly agreed by us take priority, followed by our order confirmation, our quotation, these Terms and then any other incorporated document.
2. Business customers
We supply products and services principally for business use. By placing an order, you confirm that the purchase is being made wholly or mainly for purposes connected with your trade, business, craft or profession and that the person placing the order has authority to bind the customer.
If you wish to purchase principally for personal or domestic use, please contact us before ordering. We may be unable to accept the order or may need to agree different delivery arrangements and terms. Nothing in these Terms excludes statutory rights that apply where we expressly agree to supply a consumer.
3. Quotations, orders and contract formation
Unless stated otherwise, a quotation is valid for 30 days and is an invitation to place an order, not an offer capable of acceptance. An order placed with us is your offer to buy in accordance with these Terms.
An automated website or email acknowledgement confirms receipt but does not mean that we have accepted the order. We may check prices, availability, specifications, delivery requirements, payment and intended business use before acceptance. A contract is formed when we issue an express order confirmation or dispatch the goods, whichever occurs first.
We may decline or cancel an order before acceptance, including where a product or price is incorrect, stock is unavailable, delivery is impracticable or we cannot verify the information supplied. Any payment already taken for an order we do not accept will be refunded.
You are responsible for checking our quotation and order confirmation and notifying us promptly of any error. Changes requested after acceptance are subject to our written agreement and may affect price and timing.
4. Products, specifications and measurements
Product descriptions, photographs, renders, samples and drawings are intended to give a reasonable representation. Colours and finishes may vary between displays, batches and materials. Unless expressly agreed, illustrations and layout suggestions are not construction or installation drawings.
Dimensions are subject to normal manufacturing tolerances. You must check that products, quantities, dimensions, finishes and components are suitable for their intended purpose and compatible with any existing system.
Where an order relies on measurements, plans or other information supplied by you, you are responsible for their accuracy and completeness. We are not responsible for additional work, delay or loss caused by incorrect or omitted information.
Advice is based on the information available to us and does not remove your responsibility to assess the site and intended use. Structural, building-control, fire-safety or other specialist advice is not included unless expressly agreed.
5. Prices, VAT and payment
Unless stated otherwise, prices exclude VAT, delivery, installation and any other separately identified charge. VAT is payable at the applicable rate.
We may correct an obvious pricing or calculation error before accepting an order. Once accepted, a price may change only where the contract permits it or where you agree a change to the goods, services or delivery requirements.
Website orders and pro forma orders must be paid in cleared funds before dispatch. Approved credit-account customers must pay by the due date shown on the invoice. You may not withhold, deduct or set off payment except where required by law or agreed by us in writing.
If payment is late, we may charge statutory interest, fixed compensation and reasonable recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998, suspend further supplies and withdraw credit facilities.
6. Availability, lead times and product changes
Stock statements and lead times are estimates unless we expressly guarantee them in writing. We may make minor changes that do not materially reduce function or quality, including changes required for safety, legal compliance or continued availability.
If a material item becomes unavailable, we will contact you to discuss an alternative, revised timing or cancellation of the affected item. We will refund sums paid for goods we cannot supply.
7. Delivery
Delivery dates and times are estimates unless expressly agreed in writing as guaranteed. Time is not of the essence. We may deliver in instalments and invoice each instalment separately.
Delivery is complete when the goods are made available for unloading at the agreed address. Standard delivery is to a safe, accessible ground-level unloading point and does not include carrying goods into or through premises, taking goods upstairs, positioning, assembly or installation.
Delivery charges are based on the information you provide. Residential premises, restricted access, timed access, pedestrian zones, vehicle restrictions, tail-lift requirements and other special arrangements must be disclosed before acceptance. We may revise the delivery method, timing or charge when that information is incomplete or inaccurate.
If delivery cannot be completed because you do not provide access, unloading arrangements or an authorised recipient, we may charge reasonable waiting, storage, redelivery and associated carrier costs.
8. Site access and unloading
Unless we expressly agree otherwise in writing, you are responsible for unloading. You must provide safe and suitable vehicle access, sufficient competent people and any lifting or handling equipment required for the size and weight of the consignment.
Carrier drivers are not normally contracted to manually unload individual components, carry goods into premises, assemble or position products, or wait while labour or equipment is arranged.
You must tell us as early as possible about any difficult or restricted delivery location. We will use reasonable efforts to identify a suitable solution, but availability and additional charges depend on the carriers and equipment required.
You are responsible for the safety of the delivery and unloading area and for preventing access by customers, members of the public or other unauthorised persons while unloading takes place.
9. Inspection, shortages and transit damage
You should inspect the number and apparent condition of packages on delivery. Record visible damage, shortage or evidence of mishandling on the delivery note before signing wherever reasonably possible.
Notify us in writing, with photographs and order details, within two business days of delivery for visible damage or shortage and within five business days for concealed transit damage. Keep the goods and packaging available for inspection and do not install or use damaged items.
Prompt notification is necessary so that we can investigate with the carrier. These reporting periods do not exclude claims for defects that could not reasonably have been discovered within them.
10. Risk and ownership
Risk of loss or damage passes to you when delivery is completed. Ownership does not pass until we have received cleared payment in full for the goods and all other sums due to us.
Until ownership passes, you must keep the goods identifiable as ours, store them safely and adequately insured, and not remove identifying marks. If payment becomes overdue or you become insolvent, we may require the goods to be returned and, where legally permitted, enter premises to recover them.
11. Cancellation and returns
Business customers do not have an automatic right to cancel or return correctly supplied goods. Any return of unwanted standard stock requires our prior written authorisation and is at our discretion.
Approved returns must be unused, unassembled, complete, in resaleable condition and in their original undamaged packaging. You are responsible for safe return carriage and transit risk. We may deduct reasonable collection, inspection, repacking, handling and restocking costs from any credit.
Do not return goods without a return authorisation. Goods sent without authorisation may be refused or held at your cost.
12. Bespoke, modified and special-order goods
Goods manufactured, cut, finished, modified, imported or ordered specifically for you cannot normally be cancelled, changed or returned once production, procurement or modification has begun.
You must approve relevant specifications, drawings, colours and finishes before work begins. Approval confirms that the documented requirements are correct. If we agree to a cancellation or change, you must pay costs and commitments already incurred together with reasonable resulting charges.
13. Installation services
Installation is included only where expressly stated in our quotation or order confirmation. Supply-only prices do not include assembly, fixing, positioning, electrical work, building work or removal of packaging.
You must ensure that the site is ready, safe, clear and accessible on the agreed date. Floors, walls and other supporting structures must be suitable for the proposed installation. You must disclose concealed services, asbestos, access restrictions, working-hour limits and other relevant hazards.
Additional visits, delays, abortive attendance or extra work caused by an unready or unsafe site, inaccurate information or work by others may be charged separately.
Where we introduce or arrange an independent installer, our quotation or confirmation will state whether that installer contracts with us or directly with you.
14. Assembly, fixing, loading and safe use
Products must be assembled, positioned, levelled, fixed, loaded, inspected and maintained in accordance with the applicable instructions and good industry practice. Appropriate wall or floor fixings must be selected for the actual substrate and site conditions.
Published load capacities apply only to correctly assembled and undamaged equipment, with loads evenly distributed as specified. Load limits must not be exceeded. Equipment must not be altered, climbed on, impacted or used for a purpose for which it was not designed.
You are responsible for completing site-specific risk assessments, protecting the public and staff, carrying out regular inspections and removing damaged equipment from use. Seek competent advice if you are uncertain about assembly, anchoring, loading or suitability.
15. Faults, warranty and remedies
We warrant that goods will materially conform to the agreed specification and be free from material defects at delivery. Services will be performed with reasonable care and skill.
You must notify us promptly of an alleged defect, provide reasonable evidence and allow us to inspect. If a valid claim is established, we may repair or replace the affected item, reperform the affected service or refund the price paid for it, as appropriate.
This warranty does not cover fair wear and tear, accidental or malicious damage, corrosion caused by the environment, misuse, overloading, incorrect storage, unsuitable foundations or substrates, improper assembly or fixing, unauthorised alteration, or failure to follow instructions.
Manufacturer warranties apply subject to their own terms. Nothing in this clause limits obligations that cannot lawfully be excluded.
16. Limitation of liability
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, breach of terms implied by section 12 of the Sale of Goods Act 1979, or any liability that cannot lawfully be limited or excluded.
Subject to the paragraph above, we are not liable for loss of profit, revenue, business, contracts, anticipated savings, goodwill or data, or for indirect or consequential loss.
Subject to the first paragraph of this clause, our total aggregate liability arising from a contract, whether in contract, tort (including negligence), breach of statutory duty or otherwise, will not exceed the total price paid or payable under that contract.
We are not responsible for loss caused by inaccurate customer information, unsuitable site conditions, incorrect installation by others, incompatibility not disclosed to us, overloading, misuse or unauthorised modification.
17. Events beyond our reasonable control
We are not liable for delay or failure caused by events beyond our reasonable control, including carrier disruption, shortages, supplier failure, industrial action, severe weather, fire, flood, epidemic, war, civil disturbance, government action, border delay, utility failure or transport-network disruption.
We will notify you where reasonably practicable and take reasonable steps to reduce the effect. Our time for performance will be extended for the duration of the event. If a material delay continues for more than 60 days, either party may cancel the affected undelivered part of the order.
18. Suspension and termination
We may suspend supply or terminate a contract by written notice if you fail to pay on time, commit a material breach and do not remedy it within a reasonable period, become insolvent, cease trading or give us reasonable grounds to believe that payment is at risk.
On termination, all sums owed become immediately due. Termination does not affect rights and liabilities accrued beforehand, and provisions intended to continue will survive.
19. General provisions
No change to a contract is binding unless agreed in writing by an authorised representative of each party. A delay in enforcing a right is not a waiver of it.
If any provision is found invalid or unenforceable, it will be treated as modified to the minimum extent necessary and the remaining provisions will continue.
No person other than the parties has a right to enforce the contract under the Contracts (Rights of Third Parties) Act 1999. You may not assign or transfer the contract without our written consent. We may use subcontractors and may assign the contract as part of a business transfer.
Notices concerning breach, termination or legal proceedings must be in writing and sent to the registered office or notified business email of the recipient. Routine order communications may be sent using the contact details supplied with the order.
We handle personal information as described in our Privacy Policy.
20. Governing law and jurisdiction
Each contract and any non-contractual dispute arising from it are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
